Low & Bonar PLC announces, in accordance with Rule 2.10 of the City Code on Takeovers and Mergers, that as at the close of business on 1st December, 2005 its relevant securities in issue consisted of 100,231,400 ordinary shares of 25 pence each.

Low & Bonar PLC (the "Company") announced on 10 May 2004 that the Group was one of a number of groups which received a statement of objections from the European Commission investigating allegations of a cartel relating to industrial bags, a market which the Group exited in 1997 following the sale of its Belgian packaging business to BPI.

Low & Bonar PLC (the “Company”) today announces that the Court of Session in Scotland (the “Court”) has confirmed the cancellation of the Company’s share premium account, the cancellation of its paid up capital to the extent of 25 pence per issued ordinary share and the reduction in the nominal value of its ordinary shares from 50 pence to 25 pence (the “Capital Reorganisation”).

Following the sale of the Group’s Plastics Division for £25.75m, completed on 8 September 2005, Low & Bonar announces its intention to inject a total of £10m into the Low & Bonar Group Retirement Benefit Scheme, the Group’s UK defined benefit scheme, (the “Scheme”) which was closed to new entrants on 1 November 2002.

On 19th October 2005, Bonar Floors Limited, a subsidiary of Low & Bonar PLC, acquired some assets and intellectual property of Threshold Floorings Limited - in Administration, a manufacturer and developer of flooring products and entrance systems, for a cash consideration of £100,000 from its Administrator.
